1.Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you and Spiike ("Spiike", "we", "us"), the operator of the Spiike platform at spiike.ai (the "Service"). By creating an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated by reference.
If you use the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation. If you do not agree to these Terms, you must not use the Service.
2.The service
Spiike is a software-as-a-service workspace for influencer-marketing teams. It helps brands, agencies, and marketing professionals score and shortlist creators, brief campaigns, collect and review creative through AI-assisted analysis, manage revisions, and track delivered content. Supported platforms currently include Instagram, TikTok, X, and YouTube, and may change over time.
We may add, modify, or discontinue features at any time. We will give reasonable advance notice of material changes that adversely affect a paid feature you rely on.
3.Definitions
- Account — the registered account through which you access the Service.
- User Content — campaign briefs, notes, lists, settings, and any material you submit to the Service.
- Creator Submission — video, audio, image, caption, or other content uploaded to the Service by a creator (or by you on their behalf) for review, including via a branded submission link.
- Influencer Data — information about public social-media profiles and their content, sourced from publicly accessible sources, that the Service makes available for scoring and shortlisting.
- Subscription — a paid plan granting access to the Service for a recurring period.
4.Eligibility & accounts
The Service is intended for business use by professionals aged 18 or over. It is not directed to consumers acting for personal purposes, and it is not directed to children.
You must provide accurate information when registering and keep it current. You are responsible for safeguarding your credentials and for all activity under your Account. Notify us promptly at hello@spiike.ai of any unauthorised use. You may not share, sell, or transfer your Account.
5.Plans, billing & payment
Paid features require an active Subscription. Current plans and pricing are described on our pricing page; that page, as updated from time to time, is incorporated into these Terms.
Our order process and payments are managed by Paddle.com, which acts as the Merchant of Record (reseller) for purchases made through the Service. Paddle handles billing, tax, invoicing, and chargebacks, and its buyer terms apply to your transaction. We never receive or store your full card details.
- Subscriptions renew automatically at the end of each billing period at the then-current rate, unless cancelled beforehand.
- You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you keep access until then.
- Fees are stated exclusive of taxes unless noted; applicable VAT or sales tax is added at checkout by Paddle.
- We may change prices for future billing periods with reasonable prior notice; changes do not affect a period you have already paid for.
Refunds are governed by our Refund Policy.
6.Free tier
We offer a free tier at no cost. It does not require payment details and never converts to a paid plan automatically. To use paid features, you choose to upgrade and start a Subscription. We may change or withdraw the free tier with reasonable prior notice.
7.Acceptable use
You agree not to:
- use the Service for any unlawful, infringing, deceptive, or fraudulent purpose;
- upload Creator Submissions or User Content you do not have the rights or permission to submit;
- use the Service to harass, defame, or contact individuals without a legitimate business purpose, or in breach of marketing, anti-spam, or data-protection laws;
- reverse-engineer, decompile, scrape, or attempt to derive the source code, models, or algorithms of the Service, except to the extent this restriction is prohibited by law;
- resell, sublicense, or provide the Service to a third party as a service bureau, or circumvent usage limits, quotas, or access controls;
- introduce malware, probe or breach security, or place an unreasonable load on our infrastructure;
- use the Service or its outputs to build a competing product, or to train a competing machine-learning model.
You are responsible for ensuring your use of the Service, and any campaign you run through it, complies with applicable advertising-disclosure, consumer-protection, and platform rules.
8.Creator submissions & uploads
The Service lets creators upload content for review, including through branded submission links that do not require an account. By generating such a link or uploading content, you represent and warrant that:
- you and the relevant creator have the rights necessary to upload the content and to have it processed and analysed by the Service and our AI sub-processors;
- the creator has been informed, as required by applicable law, that their submission will be analysed (including by automated means) for the purpose of campaign review; and
- the content does not infringe third-party rights or contain unlawful material.
You grant us a limited, non-exclusive licence to host, process, analyse, transcode, and display Creator Submissions and User Content solely to operate and provide the Service to you. We claim no ownership of your content. Further detail on how submissions are processed is in our Privacy Policy.
9.Influencer data
Influencer Data made available through the Service is sourced from publicly accessible social-media profiles and content. We process only information that creators have made public in a professional capacity, and we do not knowingly collect private or non-public information, nor special categories of personal data.
A creator may object to or request removal of their information; see "Your rights" in our Privacy Policy. You agree to use Influencer Data only for legitimate business and marketing purposes and in compliance with applicable law.
10.AI features & no professional advice
The Service uses artificial intelligence, including third-party AI providers, to generate scores, brand-match estimates, transcripts, and creative-review feedback. These outputs are decision-support only. They may be incomplete or inaccurate, and they do not constitute professional, legal, or financial advice.
You remain responsible for your decisions. The Service does not make automated approval or rejection decisions that produce legal or similarly significant effects for any individual without your review; a human on your team approves every outcome.
11.Intellectual property
The Service, including its software, design, models, and content (excluding User Content, Creator Submissions, and Influencer Data), is owned by Spiike and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your Subscription, subject to these Terms. All rights not expressly granted are reserved.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
12.Your data & confidentiality
As between you and us, you own your User Content and Creator Submissions. We process them in accordance with our Privacy Policy and, where you act as a data controller and we process personal data on your behalf, under a data processing agreement. Business customers who need a data processing agreement (DPA) can contact us at hello@spiike.ai.
Each party will protect the other's confidential information and use it only as needed to perform under these Terms.
13.Third-party services
The Service relies on, and may link to, third-party services (for example payment, hosting, storage, analytics, AI, and social platforms). We are not responsible for third-party services, and your use of them may be subject to their own terms. We are not affiliated with or endorsed by Instagram, TikTok, X, YouTube, or their operators.
14.Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that scores or data will be complete or accurate. Nothing in these Terms excludes liability that cannot be excluded by law.
15.Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Service, even if advised of the possibility.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) USD 100. These limits do not apply to liability that cannot be limited by law (such as for death, personal injury caused by negligence, or fraud).
16.Indemnification
You agree to indemnify and hold harmless Spiike and its team from claims, damages, and reasonable expenses (including legal fees) arising from your User Content or Creator Submissions, your use of the Service, your campaigns, or your breach of these Terms or of applicable law.
17.Term & termination
These Terms apply while you use the Service. You may stop using the Service and cancel your Subscription at any time from your account settings. We may suspend or terminate your access, with notice where practicable, if you breach these Terms, fail to pay, or create risk or legal exposure for us or others.
On termination, your right to use the Service ends. We will make your data available for export for a reasonable period and then delete it in line with our retention practices, unless we must keep it by law. Sections that by their nature should survive (including IP, disclaimers, liability, and governing law) will survive.
18.Changes to these terms
We may update these Terms from time to time. If a change is material, we will notify registered users by email or in-product notice before it takes effect. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, you should stop using the Service and may cancel.
19.Governing law & disputes
These Terms are governed by the laws of Israel, without regard to conflict-of-laws rules. The parties will first attempt to resolve any dispute in good faith. Failing that, the competent courts of Tel Aviv, Israel will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing here removes any mandatory consumer-protection rights you have under the law of your country of residence.
20.Force majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including internet or hosting outages, failures of third-party services, cyber-attacks, acts of God, war, or government action.
21.Miscellaneous
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries.
